These Terms of Use (“Terms”) govern your access to and use of Owntric.com and related tools, dashboards, and services (collectively, the “Services”). By accessing or using Owntric, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who We Are & Scope

• Owntric is a U.S.-based informational portfolio and analytics platform focused on private and early-stage investments.
• These Terms apply to your use of our website, web app, and any other tools or features that link to or reference these Terms.
• Owntric may update or modify the Services at any time, including adding or removing features, with or without notice.

2. Eligibility & Accounts

• You must be at least 18 years old and capable of entering into a legally binding contract in the United States to use the Services.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You agree to provide accurate, current, and complete information when creating or updating your account and to keep it up to date.
• Owntric may suspend or terminate your account at any time if we believe you have violated these Terms, engaged in fraudulent or abusive behavior, or created risk to Owntric or others.

3. Description of the Services

• Owntric provides tools to help you organize historical private investments, view estimated portfolio values, and explore analytics and AI-generated insights.
• The Services may incorporate public information from sources such as SEC filings, funding portals, and other publicly available data, combined with your own inputs.
• Owntric does not execute trades, hold customer funds, or provide brokerage, custodial, or execution services.

4. No Investment, Legal, or Tax Advice

• Any reference to returns, valuations, performance, or opportunities is purely illustrative and not a recommendation to buy, sell, or hold any investment.
• You agree not to represent Owntric’s content or analytics as personalized financial advice to any third party.

5. AI, Estimates & Data Limitations

• The Services may use algorithms and artificial intelligence to generate summaries, valuations, estimates, and other analytics based on your inputs and public data.
• These outputs may be incomplete, delayed, or inaccurate, and may not reflect current market conditions, private transaction terms, or actual realizable value.
• Owntric does not guarantee that any estimate, valuation, or insight is correct, complete, or suitable for your situation.
• You are solely responsible for validating any information before relying on it, and you agree that you use all outputs at your own risk.

6. Your Inputs & License to Owntric

• You retain ownership of the data and content you input or upload into Owntric (“User Content”), subject to any rights of third parties.
• You grant Owntric a non-exclusive, worldwide, royalty-free license to host, use, store, reproduce, modify, display, and create derivative works of your User Content as necessary to operate, improve, and provide the Services (including to generate analytics and insights for you).
• Owntric may use de-identified or aggregated data derived from your use of the Services to improve the product, develop new features, or generate benchmarking statistics, provided that such data does not reasonably identify you.
• You represent that you have all rights and permissions necessary to provide User Content to Owntric and to grant the above license.

7. Acceptable Use & Prohibited Conduct

• You agree to use the Services only for lawful purposes and in accordance with these Terms.
• You agree not to:
• • Access or use the Services in any way that violates any applicable U.S. law or regulation.
• • Attempt to reverse engineer, decompile, or gain unauthorized access to any part of the platform or its underlying systems.
• • Circumvent security controls, rate limits, or other protections implemented by Owntric.
• • Use the Services to develop a competing product or service that reproduces proprietary features of Owntric.
• • Upload or transmit any malicious code, spam, or harmful content.
• • Misrepresent your identity or any information you provide through the Services.

8. Third-Party Links & Data Sources

• The Services may display or link to third-party websites, news articles, funding portals, or other resources. Owntric does not control and is not responsible for the content, accuracy, or privacy practices of those third parties.
• References to third-party platforms (such as funding portals, brokers, or issuers) do not constitute endorsements or recommendations.
• Any dealings you have with third parties are solely between you and them, and Owntric is not liable for any loss or damage arising from those dealings.

9. Intellectual Property

• The Services, including all software, design, text, graphics, logos, trademarks, and other content (excluding your User Content), are owned by Owntric or its licensors and are protected by U.S. intellectual property laws.
• You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use in accordance with these Terms.
• You may not copy, modify, distribute, sell, lease, or create derivative works based on the Services or any portion thereof without Owntric’s prior written consent.

10. Feedback

• If you send Owntric comments, ideas, or suggestions (“Feedback”), you agree that we may use, modify, and implement that Feedback without restriction and without any obligation to compensate you.

11. Disclaimer of Warranties

• The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied.
• To the fullest extent permitted by law, Owntric disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
• Owntric does not warrant that the Services will be uninterrupted, secure, error-free, or that any defects will be corrected, or that the information provided is accurate, complete, or current.

• You agree to indemnify, defend, and hold harmless Owntric and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• • Your User Content or any data you input or upload,
• • Your violation of these Terms or any applicable law, or
• • Your infringement of any rights of a third party.

14. Suspension & Termination

• Owntric may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including if we believe you have violated these Terms or created risk or possible legal exposure for Owntric or others.
• You may stop using the Services at any time. You may also request account deletion as described in our Privacy Policy.

15. Governing Law & Dispute Resolution

• These Terms and any dispute arising out of or relating to your use of the Services are governed by the laws of the United States and the State of California, without regard to its conflict-of-laws rules.
• You agree that any dispute, claim, or controversy between you and Owntric arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration rather than in court, except that either party may seek equitable relief in a court of competent jurisdiction to prevent or stop misuse of confidential information or intellectual property.
• You and Owntric each waive any right to participate in a class action, class arbitration, or representative proceeding.
• Nothing in this section is intended to limit any rights you may have under applicable law that cannot be waived.

16. Changes to These Terms

• We may update these Terms from time to time. When we do, we will update the “Effective Date” at the top of this page and may provide additional notice (for example, via email or in-app notification).
• Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the changes.

17. Relationship to Privacy Policy

• Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.
• If there is any conflict between these Terms and the Privacy Policy with respect to ownership of content, disclaimers, or limitations of liability, these Terms of Use will control.
